Notice to Shareholders

Banco BTG Pactual S.A. («Bank») hereby informs its shareholders and the market in general that its Board of Directors approved, on this date, the distribution of proceeds.

The distribution shall be effected in the form of interest on equity, to be paid to shareholders in proportion to their participation in the Company’s capital stock, and subject to Brazilian withholding tax, in accordance with applicable laws and at the applicable rate.
