Notice to the Market – Closing – Aquisition of shares of Ariel

Rio de Janeiro, February 02, 2015 – Banco BTG Pactual S.A., in compliance with CVM Rule 358 dated January 3, 2002, as amended, in connection with the Notices to the Market disclosed on July 10, 2014 and on July 11, 2014, hereby informs its shareholders and the securities market that, that having been granted the applicable regulatory approvals, including the approval of the Brazilian Central Bank and the fulfillment of all the customary conditions precedent, the acquisition of 100% of the shares of the subsidiaries of Ariel Re (Holdings) Limited («Ariel») was concluded on the present date. Ariel is a non-life international reinsurance group, based in London and Bermuda, that specializes in property catastrophe reinsur-ance, and its subsidiaries were sold by Global Atlantic Financial Group Limited.
