Notice to the Market – Potential Sale

São Paulo, February 19, 2016 – Banco BTG Pactual («BTG Pactual»), in addition to the material fact released by BTG Pactual on January 14, 2016, hereby confirms to its shareholders and the market in general, as disclosed by EFG International («EFG») earlier today, that it is in exclusive discussions with EFG in relation to a potential acquisition of BSI S.A..

As of this date, BTG Pactual cannot confirm whether the parties will reach an agreement regarding the terms and conditions relating to this transaction.

BTG Pactual will keep its shareholders and the market duly informed regarding the transaction.
