Notice to the Market – Issuance of Senior Notes

Rio de Janeiro, January 10, 2013 – Banco BTG Pactual S.A. hereby informs to its shareholders and the market in general the issuance of senior notes on the international capital market, which proceeds will be used for general corporate purposes. This issuance is subject to its respective conditions and financial settlement.

Senior Notes

Issuance of senior notes totaling US$1,000,000,000.00 at a fixed coupon of 4.00%, priced at 99.247% and maturing in January 2020 («Senior Notes»). Interest on the Senior Notes will be due every six months, in January and July.

The Senior Notes were offered to qualified institutional buyers only, as defined by Rule 144A of the Securities Act, and to non-US persons outside the United States in accordance with Regulation S of the Securities Act.

This issuance is not subject to the registration rules of the U.S. Securities and Exchange Commission («SEC»), pursuant to the Securities Act of 1933, as amended («Securities Act»), nor is subject to registration in Brazil with the Brazilian Securities and Exchange Commission (CVM), pursuant to the applicable legislation and regulations.

This Notice to the Market should not be considered as an offer to sell or request to buy the Senior Notes, nor will the Senior Notes be sold in any jurisdiction where said offer, request or sale is prohibited
