Notice to the Market

Rio de Janeiro, July 10, 2014 – Banco BTG Pactual S.A. («BTG Pactual»), in compliance with CVM Rule 358 dated January 3, 2002, as amended, hereby informs its shareholders and the securities market that, on July 09 2014, it has signed definitive documents for the acquisition of 100% of the shares of the subsidiaries of Ariel Re (Holdings) Limited («Ariel»), a non-life international reinsurance group, based in London and Bermuda, that specializes in property catastrophe reinsurance, with Global Atlantic Fi-nancial Group Limited, the current owner of 100% of Ariel’s shares.

The conclusion and closing of the transaction are subject to the customary conditions for this type of transaction, in-cluding the obtaining of all necessary Brazilian and non-Brazilian regulatory approvals, including the Brazilian Central Bank approval.
