Notice to the Market – Regulatory approval for the acquisition of BSI SA

Rio de Janeiro, August 28, 2015 – BANCO BTG PACTUAL S.A. (“Company”), a publicly-held company, headquartered at Praia de Botafogo, 501, 5th, 6th and 7th floors, Botafogo, in the City and State of Rio de Janeiro, Zip Code 22250-040, registered with the Cadastro Nacional da Pessoa Jurídica (“CNPJ/MF”) under n.º 30.306.294/0001-45, in compliance with CVM Rule 358 dated January 3, 2002, as amended, in continuation to the material fact issued on July 14, 2014, hereby informs its shareholders and the market in general, that received the last regulatory approval needed to move forward with the closing of the BSI SA acquisition, which is the regulatory approval issued by the competent French authority, dully ratified by the European Central Bank; therefore, as disclosed to the market by the material facts issued on June 3, 2015, June 25, 2015, July 24, 2015 and August 26, 2015, the expected closing date of the BSI SA acquisition is September 15, 2015, still subject to satisfactory conclusion of contractual terms for the closing, typical of this type of transaction.
