Notice to the Market – Sale of Interest in Rede D´Or

Rio de Janeiro, December 02, 2015 – BANCO BTG PACTUAL S.A. (“BTG Pactual”) and BTG PACTUAL PARTICIPATIONS, LTD. (“BTG Participations” and, jointly with BTG Pactual, “Companies”), pursuant to CVM Instruction 358 of January 3, 2002, as amended, hereby informs its shareholders and the market in general that, on this date, Grupo BTG Pactual sold to GIC shares issued by Rede D’Or São Luiz S.A., representing proprietary and third-party investments. The transaction totals approximately R$2.38 billion and its conclusion is conditioned upon approval of the competent antitrust authority.
