Notice to the Market – Issuance of Notes on the International Capital Market

Rio de Janeiro, September 25, 2012 – Banco BTG Pactual S.A. (“Bank”) hereby informs to its shareholders and the market in general the issuance of subordinated notes and senior notes on the international capital market, which proceeds will be used for general corporate purposes. Both issuances are subject to their respective conditions and financial settlement.

1. Subordinated Notes

Issuance of subordinated notes totaling US$800,000,000.00 at a fixed coupon of 5.75%, priced at 98.140% and maturing in September 2022 (“Subordinated Notes”). Interest on the Subordinated Notes will be due every six months, in March and September.

The Subordinated Notes were offered to qualified institutional buyers only, as defined by Rule 144A of the Securities Act, and to non-US persons outside the United States in accordance with Regulation S of the Securities Act.

2. Senior Notes

Issuance of senior notes totaling the equivalent in Colombian pesos of approximately US$200,000,000.00, at a fixed coupon of 7.00% (“Senior Notes”). Interest on the Senior Notes will be due every six months, in March and September.

The Senior Notes were offered to non-US persons outside the United States only in accordance with Regulation S of the Securities Act.

Both issuances are not subject to the registration rules of the U.S. Securities and Exchange Commission (“SEC”), pursuant to the Securities Act of 1933, as amended (“Securities Act”), nor are they subject to registration in Brazil with the Brazilian Securities and Exchange Commission (CVM), pursuant to the applicable legislation and regulations.

This Notice to the Market should not be considered as an offer to sell or request to buy the Subordinated Notes or Senior Notes, nor will the Subordinated Notes or Senior Notes be sold in any jurisdiction where said offer, request or sale is prohibited.
