Capital Increase Approval

Rio de Janeiro, June 29, 2012 – BANCO BTG PACTUAL S.A. (“BTG Pactual”), pursuant to CVM Instruction 358 of January 2002, as amended, hereby informs its shareholders and the market in general that the Central Bank of Brazil approved today BTG Pac-tual’s capital increase in the amount of two billion and seventy million reais (R$2,070,000,000.00) through the issue of 82,800,000 common shares and 165,600,000 preferred shares, as the first part of Banco BTG Pactual within the scope of the Primary and Secondary Public Offering of Share Deposit Certificates – Units of Banco BTG Pactual S.A. and BTG Pactual Participations Ltd..
